AGREEMENT TO OUR LEGAL TERMS

We are Formi Agência Criativa e de Tecnologia LTDA ("Formi," "we"), CNPJ 54.269.057/0001-10, headquartered at Rua Itapura, 1053, Vila Gomes Cardim, São Paulo – SP, CEP 03310-000, Brazil.

These Terms govern the use of the website oformi.com.br, the app app.oformi.com.br, the portal portal.oformi.com.br, Formi's mobile apps, and the other products and services that refer to them (the "Services"), including:

• Creative Department: requests for creative pieces and services, produced by the Formi team and by creative partners;
• Formi Autopilot: planning, creation, and publication of content on the company's social media;
• Rapport: automatic replies to comments and messages, and "comment to get it," on the company's social media;
• Hub Space: the creative partners' area.

By accessing or using the Services, you represent that you have read, understood, and agree to these Terms and the Privacy policy. If you do not agree, do not use the Services. If you use the Services on behalf of a company, you represent that you have the authority to accept these Terms on its behalf.

The Services are intended for persons at least 18 years of age.

1. OUR SERVICES

The Services are offered mainly to companies and professionals. The commercial conditions of each product (plans, prices, free trial, renewal, and cancellation) are set out in the Plan terms, which prevail over these Terms to the extent they are specific. The Services are not intended for use in countries where such use is contrary to law.

2. USE OF ARTIFICIAL INTELLIGENCE

Parts of the Services use artificial intelligence to organize requests, suggest and produce texts, images, videos, and voice-overs, review content, translate, and reply to messages:

• in Autopilot, content is created with AI and may be published automatically when the company leaves this option turned on;
• in Rapport, automatic replies are written by AI and sent without prior review, unless the company turns on approval before sending;
• in the Creative Department, production with AI follows the Formi Turbo terms of use.

AI-generated content may contain errors. The company is responsible for reviewing what it publishes in its name and for informing its audience when required by law.

3. INTELLECTUAL PROPERTY

Formi owns or holds a license to all rights in the Services, including source code, databases, functionality, software, design, audio, video, text, photographs, and graphics (the "Content"), as well as Formi's trademarks and logos (the "Marks"). Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and use the Content to which you have access for personal purposes or your company's internal purposes. The rights to the pieces produced for your company are governed by the Plan terms.

4. REGISTRATION AND ACCOUNT

To use the Services, you may need to create an account. You represent that the information you provide is true and current, and you agree to keep it that way. You are responsible for keeping your password confidential and for all use made of your account. Accessing the Services by automated means is not permitted, except through the integrations that Formi itself offers.

5. PURCHASES, PAYMENTS, AND SUBSCRIPTIONS

Payments are processed by Stripe (credit card, Autopilot subscriptions, and charges outside Brazil) and by Asaas (boleto, PIX, and card in Brazil). Formi does not store your card number. You agree to provide complete and accurate billing information. Plans renew automatically in accordance with the Plan terms and may be canceled through the platform.

6. REFUNDS

Amounts paid are non-refundable, except where applicable law grants that right (such as the consumer's right of withdrawal, where applicable) or where agreed in writing. The free trial and cancellation rules for each plan are set out in the Plan terms.

7. PROHIBITED ACTIVITIES

You may not use the Services to:

• publish or send content that is illegal, misleading, or discriminatory, or that violates third-party rights or the rules of social networks;
• send unsolicited bulk messages (spam) or use Rapport to harass people;
• attempt to access accounts, data, or areas you are not authorized to access;
• copy, decompile, or attempt to extract the code of the Services, or deliberately overload them;
• resell the Services without Formi's written authorization.

8. USER MATERIALS AND CONTENT

When you submit materials (texts, images, videos, logos, and company and customer information), you retain ownership of them and grant Formi a non-exclusive, worldwide, royalty-free license to use them in providing the Services, including through creative partners and the technology providers described in the Privacy policy. You warrant that you hold the necessary rights to these materials. Reviews and testimonials you publish about Formi may be used to promote the Services.

9. SOCIAL MEDIA AND THIRD-PARTY PLATFORMS

By connecting the company's social media accounts (such as Instagram, Facebook, Threads, TikTok, LinkedIn, YouTube, X, and Google Business), you authorize Formi to act on them within the permissions granted, in order to publish, measure results, and, with Rapport, reply to comments and messages. Use of these platforms is subject to each platform's terms. Formi is not liable for changes, failures, limits, or restrictions imposed by the platforms. Permissions may be withdrawn at any time, as explained in the Privacy policy.

10. MOBILE APPLICATION

If you use Formi's mobile apps, we grant you a revocable, non-exclusive, non-transferable right to install and use them on devices that you own or control.

11. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to third-party websites and content. Formi does not control or verify such content and is not responsible for it.

12. MANAGEMENT OF THE SERVICES

We may, without any obligation to do so, monitor the Services to identify violations of these Terms, take appropriate legal action, and refuse, restrict, or remove content.

13. PRIVACY

The processing of your personal data is described in the Privacy policy and the Cookie policy.

14. TERM AND TERMINATION

These Terms remain in effect for as long as you use the Services. You can delete your account under My account, in the app. We may suspend or terminate the access of anyone who violates these Terms or the law.

15. CHANGES

We may change the Services and these Terms. Material changes to the Terms will be announced by email or in the app, and the update date at the top of this document shows the version in effect.

16. GOVERNING LAW AND VENUE

These Terms are governed by the laws of Brazil, and the courts of the judicial district of São Paulo – SP are chosen to resolve any dispute, without prejudice to the mandatory consumer protection rules of the country of residence of those entitled to them.

17. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

18. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, FORMI AND ITS OWNERS, EMPLOYEES, AND PARTNERS ARE NOT LIABLE FOR INDIRECT DAMAGES, LOST PROFITS, OR DAMAGES ARISING FROM FAILURES OF THIRD-PARTY PLATFORMS.
